Event Synopsis:
Although there were speculations before that the CEO pay ratio disclosure rule would be delayed or withdrawn, it is now clear that most companies will be required to comply with the controversial rule starting with their 2018 proxy statement. The rule requires disclosure of the employees’ median annual total compensation (excluding the CEO), the CEO’s annual total compensation, and the ratio of these amounts. The guidance recently released by the Securities and Exchange Commission (SEC) provides supplementary details on how to determine the median employee and clarifies companies’ flexibility regarding the use of statistical sampling and sensible approximations.
Companies would be wise to prepare for compliance now. Businesses should already have plans on how to recognize their “median employee” for them to comply with the required disclosures in 2018.
