Event Synopsis:
Despite the drastic move of the current administration to strengthen the national security landscape with the recent regulations and legislation, it has been years since the Congress rewrote the laws governing the Committee on Foreign Investment in the United States (CFIUS), which, as seen by many, lacked clarity in the laws governing foreign investment activities. On June 18, 2018, the Senate passed a legislation that would significantly reform the oversight and authority of CFIUS. The Foreign Investment Risk Review Modernization Act (FIRRMA), as a part of the National Defense Authorization Act for Fiscal Year 2019 (NDAA), will overhaul and expand CFIUS' jurisdiction. The reform will allow the Committee to review deals concerning the transfer of control of U.S. businesses to non-U.S. citizens. This will also provide CFIUS with the authority to review transfers of minority interests to companies dealing with critical infrastructure or “emerging and foundational technologies”.
With the new Act in place, it is expected that it would further strengthen the goal of the current administration to protect and toughen national security.
